ARK Invest Buys $6.8M in USDC Issuer Shares Following Special Approval from New York Regulator

Cathie Wood-led ARK Invest has snapped up 109,129 shares of Circle valued at $6.83 million. This multimillion-dollar purchase was executed right after the USDC stablecoin issuer secured a crucial regulatory victory in New York. The acquired shares were not concentrated in a single fund, but distributed across three of ARK Invest’s flagship exchange-traded funds (ETFs). The ARK Innovation ETF took the lion’s share by acquiring 77,103 Circle shares. The remaining shares were split between the ARK Next Generation Internet ETF with 22,238 shares and the ARK Fintech Innovation ETF with 9,788 shares. All Circle share purchases were priced based on the market closing price of $62.61 as of July 31.

The timing of ARK Invest’s multimillion-dollar investment aligned precisely with the issuance of a high-value legal document from the New York State Department of Financial Services (NYDFS).

A Single Charter to Bypass BitLicense

The New York financial regulator granted a limited-purpose trust charter for the company’s ongoing operations. This state-level regulatory approval was awarded specifically to Circle Internet Trust Company LLC, which now officially operates publicly under the trade name Circle New York Trust. In the United States, licenses from agencies like the NYDFS are known to require rigorous multi-layered oversight, making this approval a tangible testament to strict legal compliance.

This limited-purpose trust charter has an immediate legal impact on Circle’s daily operations. The specific permit grants them full legal authority to perform three core financial functions simultaneously within New York jurisdiction: conducting various virtual currency activities, acting lawfully as a fiduciary, and providing money transmission services. The biggest advantage lies in cutting bureaucratic red tape, as the USDC-issuing institution can now operate all its financial business lines without the need for a separate BitLicense.

Where Will USDC’s Operational Base Head?

The legal approval from the New York regulator has prompted an operational restructuring within the company. Armed with this newly issued trust charter, Circle plans to transition the operational core of USDC stablecoin issuance to the newly approved Circle New York Trust entity. This operational migration will be carried out in phases as the company adapts to local rules. Moving forward, this New York operating entity will function alongside Circle National Trust, which handles legal compliance at the federal level.

For retail USDC users, this legal entity migration means the digital dollar coins in their crypto wallets are under direct oversight by a reputable US financial regulator. For major asset managers like ARK Invest, the issuance of the NYDFS charter provides a clear regulatory green light to deploy fresh capital.
