Gemini Market Cap Drops to $753 Million After 80% Stock Plunge - But Its Licenses Draw Takeover Interest

Shares of Gemini Space Station (GEMI) have plunged roughly 80% from their initial public offering price. The steep stock decline has reduced the company’s market capitalization to around $753 million.

Amid these conditions, a pessimistic outlook has weighed on its exchange business. One venture capital investor noted that Gemini’s spot exchange technology lacks differentiation when compared to competing platforms. However, despite the ongoing contraction of its core exchange business, Gemini retains robust legal infrastructure. The regulatory licenses held by its subsidiaries are considered far more valuable than its primary spot trading operations. For competitors, building regulatory compliance from scratch in the United States often proves significantly more expensive and time-consuming than acquiring an already-licensed exchange.

Buying a US Gateway

This comprehensive regulatory standing has prompted proposals for cross-entity deals. Lorenzo Valente, director of digital asset research at ARK Invest, floated an idea on X last month, arguing that Hyperliquid - an offshore perpetual trading platform - should acquire Gemini. Through such an acquisition, Hyperliquid could leverage Gemini as a regulated gateway to the United States to offer perpetual futures and prediction markets to local users.

It is important to emphasize that this discussion stems purely from third-party analysis. There is no indication that Hyperliquid is actively negotiating or preparing an offer to acquire Gemini. However, if the company were to receive a formal takeover proposal in the future, Gemini’s internal ownership structure is believed to facilitate negotiations. The concentrated voting power held predominantly by the Winklevoss twins is expected to streamline decision-making in finalizing any deal.

The appeal of Gemini’s licenses reflects a broader shift in crypto merger and acquisition (M&A) trends. Buyers are increasingly willing to pay a premium to secure regulatory infrastructure, distribution networks, and new market access - rather than simply chasing daily trading volume. This purchase rationale was already demonstrated last July when Keyrock acquired trading assets from BlockFills with the sole objective of securing its regulatory licenses.

This consolidation pattern driven by licensing is gaining momentum among other institutional players. Ondo is reportedly exploring a deal that could potentially reach $500 million. Elsewhere in the industry, LMAX and B2C2 are also exploring strategic transaction opportunities. While the spot exchange business may be maturing, holding formal regulatory licenses remains the most appealing shortcut for offshore entities seeking expansion. Reported by CoinDesk.
