MoonPay Acquires North Capital for $60M - Eyes SEC Licenses to Trade Tokenized Securities

MoonPay has agreed to acquire North Capital in an all-stock deal valued at over $60 million. The Midvale, Utah-based company holds four key licenses from the US Securities and Exchange Commission (SEC) as a broker-dealer, alternative trading system (ATS), transfer agent, and investment adviser.

For MoonPay, currently valued at $3.4 billion (according to Traxcn data), acquiring North Capital provides a direct path into regulated markets. Their acquisition target boasts a long track record, with total primary and secondary transaction volume between $8.7 billion and $9 billion. Notably, North Capital last raised external capital in October 2021 through a $2.18 million seed round.

Direct Access to Private Securities

Gaining control over SEC-compliant infrastructure is MoonPay’s primary objective. Through this acquisition, the firm secures legal access to the issuance, custody, and secondary trading of private securities - including tokenized securities on the blockchain.

MoonPay CEO Ivan Soto-Wright positioned the maneuver as a bridge between systems, stating that the acquisition helps connect disparate parts of the financial system through modern, programmable infrastructure.

Once the transaction closes, North Capital will operate as a wholly owned subsidiary of MoonPay. The completion of the deal remains subject to regulatory approval.

Wave of Acquisitions Throughout 2026

The year 2026 has marked an expansion period for MoonPay. The $60 million purchase of North Capital adds to the growing list of infrastructure firms the company has acquired this year.

Previously, MoonPay acquired DFlow, which builds trading infrastructure on the Solana network. They also purchased key management firm Sodot and took over Entendre, an AI-powered financial operations entity.

This string of acquisitions highlights MoonPay’s strategic shift. Moving beyond a standard payments provider, the company is now building institutional-grade infrastructure - an opening step toward seizing opportunities in the tokenized securities market.
