AMC Entertainment CEO Adam Aron raised a series of questions to Robinhood CEO Vlad Tenev and Chief Legal Officer Dan Gallagher on September 12, 2026. His primary focus highlighted the exchange’s backing ratio claims for its stock token product: is a token still considered to have 1:1 backing if the underlying shares are lent to short sellers in the market?
The foundational terms of Robinhood’s product state that its stock tokens are indeed backed by underlying securities. However, the fine print also emphasizes that holding the token does not automatically make the customer a registered owner of the company’s shares.
Claims Against Jersey Entity, Not Direct Share Ownership
The entity Robinhood Assets Jersey Limited issues tokenized debt securities to give buyers economic exposure to the underlying shares. This operational structure means token holders merely hold a claim against the Jersey-based issuer, rather than owning the company’s shares in the capital market.
Aron reacted strongly, calling the stock token business model an ‘abhorrent’ instrument that violates the core purpose of public stock ownership. He framed the issue within the broader context of consumer protection, questioning whether retail customers ultimately misunderstand the legal limitations attached to the products they purchase.
Still a Hypothetical Question
As of September 13, Robinhood management has not released a public response to questions regarding this collateral-lending practice. Nonetheless, Aron’s challenge remains purely hypothetical for now, as he has not presented evidence showing that Robinhood is currently lending its reserve shares to third parties.
The warning from the leader of a high-profile public company like AMC highlights that tokenized asset instruments do not yet confer rights equivalent to conventional equities. For investors, verifying who holds ultimate control over the physical collateral is far more valuable than simply relying on full backing ratios advertised in marketing brochures.
