CNTN Shares Trade on Canton Network Under SEC Exemption - Token Holders Secure Nasdaq-Equivalent Rights

Shares of a U.S. public company are now changing hands directly on a blockchain with regulatory approval. Canton Strategic Holdings, listed on Nasdaq under the ticker CNTN, completed the inaugural trade of official tokenized common stock on the Canton Network on Nov. 4, 2026. The transaction took place under the Innovation Exemption framework released by the U.S. Securities and Exchange Commission (SEC) on Sept. 17, which provides conditional relief from conventional exchange registration requirements.

Five North participated as the seller, trading against DRW Cumberland as the buyer. Flowdesk served as the liquidity provider, while execution took place on TSV LLC. The TSV LLC platform operates as a specially licensed trading venue for tokenized securities powered by the Tradecraft automated market maker (AMM) protocol.

Canton Strategic Chairman and CEO Mark Wendland stated that the trade proves the first real-world implementation of official tokenized equity in the U.S. under SEC regulatory oversight. However, moving shares from conventional exchanges to the blockchain hinges on one pivotal actor: a licensed transfer agent.

How Traditional Shares Move to the Blockchain

The transaction flow began when Five North requested the conversion of its CNTN shares into digital tokens. Fairmint TA LLC, an official transfer agent registered with the SEC, processed the request by transferring Five North’s share position from a traditional brokerage account to a verified Loop Wallet digital wallet.

Fairmint recorded share ownership directly on the Canton Network and facilitated atomic settlement. Through atomic settlement, the exchange of shares and payment concludes simultaneously at the exact same moment, eliminating the tiered settlement lag seen in traditional capital market clearing systems.

Dividend Rights Intact Behind Strict Screening

Moving shares into a digital token format does not strip investors of legal rights. Holders of the tokenized shares obtain full corporate rights equivalent to CNTN shareholders on the Nasdaq, including voting rights at shareholder meetings and dividend payouts from the company.

Trading participation is also not open to the general public. Access is strictly restricted to entities that pass Fairmint’s official identity verification and meet international sanctions screening criteria.

Fairmint CEO Joris Delanoue emphasized that the role of a licensed transfer agent remains the key legal pillar establishing lawful share ownership above blockchain settlement. For institutional market participants, this trade demonstrates that blockchain adoption for public equity now has a clear legal avenue in the U.S., pairing the settlement efficiency of new technology with strict identity compliance.
